Training Administration Management

 

Si tratta di corrispondenza stralciata dal carteggio dell’attività che lo scrivente ha svolto, in Alitalia, in qualità di coordinatore delle funzioni di addestramento e formazione, presso terzi, del personale di manutenzione e ingegneria.

   

Premesso che Alitalia dispone di strutture e funzioni interne preposte alla formazione del proprio personale, va detto che quel training che, per motivi di contratto in essere, convenienze logistico-economiche o opportunità operative, non può essere prodotto in casa, deve necessariamente essere commissionato a ditte esterne all'azienda.

Perciò, quando la domanda d’istruzione teorica, abilitazione pratica, aggiornamento o specializzazione, non trova una soluzione adeguata o conveniente in ambito aziendale, occorre rivolgersi al mercato esterno: costruttori aeronautici, compagnie aeree, ditte di manutenzione, scuole e istituti accreditati, ecc.

ARTICLE 2 - PAYMENT

 

2.1.         Upon execution of this contract, Buyer will send AMT within 5 business days a non-refundable   75% deposit.

 

2.2.         Bank wires payable to Airline Maintenance Training, Inc. Value Date of all bank wires shall be the            same date of the execution of the contract or invoice.

2.3.         Additional Student Population in Excess of Article 1. Upon commencement of the Service additional students above the Baseline Population shall be invoiced as per 1. The Invoice shall be paid within 2 business days. Failure to pay invoice within the specified time frame may result in work stoppage of the Service.

 

 


ARTICLE 3 -  MISCELLANEOUS CHARGES

 

3.1.         In addition to the amounts specified in Article 3.1., Seller will provide the following:

 

3.2.         US based Instructors –                      Coach Class travel for USA and Caribbean destinations 

                                                              Business Class travel for all other international destinations

 

3.3.         European based Instructors -          Coach Class travel within European Continent

Business Class travel for US and all other international destinations

 

3.4.         Airfare is based upon to and from Instructor's domicile to training location. 

 

3.5.         Meal allowances. Per Diem begins on the date when instructors leave their domicile enroute to the training site and terminates when instructors return to their domicile

 

3.6.         US based Instructors                         Rental car transportation for US locations only. Customer                                                                                     furnished transportation at international locations.

 

                European based Instructors             Reimbursement for mileage on personal operated vehicles or                                                                                            customer furnished transportation.

 

3.7.         Reimburse costs for safe, clean and adequate hotel accommodations normally acceptable to airline       flight crew.

 

3.8.         Shipment of text materials to Buyer's facility.

 

 

ARTICLE 4: JAR 147 REGULATORY PERSONNEL REIMBURSEMENT (JAR147 Companies Only) :

 

4.1.         As per JAR147, the AMT’s Accountable Manager or his designee is required to conduct a one-time          inspection at locations remote from the AMT’s approved JAR 147 Training Site.

 

4.2.         For the purposes of this Article, the AMT’s Accountable Manager or his designee shall be            considered the same as CAA/JAA Regulatory Personnel.

 

4.3.         Buyer shall reimburse AMT for transportation, hotel and per diem costs of regulatory personnel in            the performance of their duties for inspecting and auditing the Training Presentations as per Article       1.

 

ARTICLE 5: INVOICES

 

5.1.         Contract Execution Invoice. The invoice shall be paid by Buyer upon execution of the contract. Failure to pay invoice within the specified time frame will result in delay of the commencement of the Service.

 

5.2.         Service Commencement Invoice. The invoice shall be paid by Buyer within 5 business days of commencement of the Service as stated in Article 1. Failure to pay invoice within the specified time frame may result in work stoppage of the Service.

 

5.3.         Final Invoice. The invoice shall be paid upon receipt. This amount will include any remaining    course price balance and miscellaneous expenses as per Article 4. A late charge of the current                 USA prime interest rate plus (2)% two percent per month on the unpaid balance will be assessed            for all late payment of  invoices.

 


ARTICLE 6 – CERTIFICATION OF TRAINING:

 

6.1.         Certification of Training will be issued upon satisfactory payment of all unpaid invoices.

 

6.2.         Failure to pay all outstanding invoices of this Agreement may result in revocation of the Certification of Recognition and notification of such default to the CAA/JAA authorities and any appropriate authority.

 

ARTICLE 7 – URGENT REQUESTS FOR TRAINING:

 

7.1.         Requests made for training to be conducted in less than 10 business days for international classes and 7 business days for domestic US classes may be assessed personnel overtime charges for printing, and expedited handling and shipping costs. (JAR 147 Courses Require Approval From Regulatory Agency)

 

ARTICLE 8 - Replacement of Certification Documents:

 

8.1.         Reissuance of Certificate of Completion: (Non-JAR 147 companies) and JAR 147 Approved   Type Maintenance Course Certificate of  Recognition (JAR 147 approved companies) shall be    charged                $25.00 USD per individual student certificate plus shipping and handling charges.

 

8.2.         Replacement of Certification of Training Documents: Reissuance of Training Course               Certification (Non JAR 147 companies) Certificates shall be charged $75.00 USD plus shipping and          handling charges.

 

ARTICLE 9 - LANGUAGE DIFFICULTIES

 

9.1.         All training presentations are presented in the English language as per JAR147 Regulations. An               additional charge of $3,500 per day and instructor expenses as per Article 4 will be assessed in the               event additional training days are required due to difficulties in understanding the course material        presented in English.

 

ARTICLE 10 - AMT PERFORMANCE

 

10.1.       JAR147 Organizations Only - The training course will be conducted in accordance with the        requirements of JAR-147.

 

10.2.       All Organizations. - AMT makes the following warranty in addition with the furnishing of services              listed in Article 1.

 

                               (a) AMT’s assigned instructor(s) will show a full command and knowledge of the subjects                                           in relation to all the systems indicated in the course program to be taught.

 

                               (b) AMT’s assigned instructor(s) will cover all of the subjects in relation to the system(s)                                               indicated in the course program to be conducted.

 

                               (c) AMT’s assigned instructor(s) will perform in a competent, workman-like and                                                             professional manner in accordance with international airline standards and will be                                       punctual during the course instruction.

 

                               (d) Courses will be conducted in the English language. In the case of translated                                                             presentations, the Buyer shall be responsible for providing a translator and for the content                                          of the translation.

 


ARTICLE 10 - AMT PERFORMANCE - continued

 

10.3.       Responsibility. AMT shall not be responsible for the competency of individuals during the course             of training listed in Article 2 Statement of Work, nor the operation of servicing, performing           maintenance on any aircraft by them upon completion of training.

 

(a) The Quality Manager or their designated person of the Buyer is responsible for        insuring that the students are properly qualified and competent to attend the course of        training.

 

10.4.       Ratings / Licensing. AMT does not guarantee that any individual completing training will achieve             the necessary proficiency to qualify for any license, certificate or rating         issued by any regulatory   agency or governmental authority.

 

10.5.       Training Materials. AMT furnished printed or otherwise produced manuals, training aids and     devices are for “Training Use Only”. They are not controlled documents and will not revised. It is       agreed by Buyer that the training materials, manuals, training aids and devices are not to be used       in the performance or operation of maintenance of any aircraft. 

 

(a)     The Buyer will upon request by AMT to furnish access to maintenance manuals and other appropriate documents relevant to the aircraft and training course.

 

10.6.       Reproduction of Course Content.  The Instructor's presentation of the training course or any     other type of instruction is not to be recorded by means of video, audio, or any other method of             reproduction or recording without written permission of AMT.

 

10.7.       Classroom Observers.  Regulatory officials of the customer's airline or facility are encouraged to            observe                 and evaluate AMT’s courses at any time.

 

ARTICLE 11 - JAR 147 CLASSROOM REQUIREMENTS / USA FAA CLASSROOM REQUIREMENTS

 

11.1.       The following elements shall apply to classroom training facilities. JAR147 companies shall comply        with the standards within the JAR147 Regulations.       

 

11.2.       The following elements shall apply to classroom training facilities for NON JAR 147.

 

                               (a). Not less than 30 gross square feet per student.

                               (b). Sufficient eraser boards for effective teaching shall be provided.

(c). The classroom shall be well lighted. There should be not less than 30 foot-candles of           illumination at the student's desk or table.

                               (d). Students will be seated at suitable tables or provided with a proper rest on the chair                                               for writing or taking notes.

                               (e). The classroom will be cleaned not less than two times each week of instruction.

                               (f). Sanitary restroom facilities shall be available within convenient distance of the                                        classroom.

                               (g). The classroom facilities shall be adequately ventilated; heated in winter and cooled in                                          summer. Limits should not exceed reasonable limits.

                               (h). Ambient noise shall be below the distraction point at any position in the classroom,                                               normal instructor voice levels should be able to exceed the ambient noise level by 20                                                decibels.

                               (i). Buyer shall comply with safety standards for classrooms specified by the US National                                            Electrical Code, the US National Fire Code, and the United States of American Standards                                          Institute or the international equivalent associations.

(j). Local environmental distraction adversely affecting student learning shall be eliminated.                                                                                            

 


ARTICLE 12 - SALES AND USE TAXES

 

12.1.       In addition to the amounts set forth above, Buyer shall be responsible for and shall pay and hold              AMT harmless from any sales or use taxes imposed on AMT or Buyer in connection with this   agreement.

 

ARTICLE 13 - INDEMNIFICATION

 

13.1.       Buyer will defend, indemnify and hold harmless AMT, their respective officers, directors,             employees, instructors, service representatives agents, and contractors assigned to perform                Services hereunder from and against all claims, demands, suits, liabilities, damages, losses and      costs and expenses (including without limitation, reasonable attorneys’ fees) of any nature                 whatsoever, with respect to the death of or injury to any person (including any of Buyer’s             employees or designees) or damage, loss, or destruction of property (including, without limitation,                aircraft or other property and Buyer’s property) whether or not caused by AMTs’ negligence, actual      or imputed, which may be suffered by, occurred against, be charged to or recoverable from AMT       respective officers, directors, employees, instructors, service representatives agents, and            contractors.

 

13.2.       In connection with printed or otherwise produced manuals, training aids, or other training materials,         Buyer agrees that such materials may not be sold or leased to a third party without the expressed         written consent of AMT. Buyer is prohibited from reproducing in whole or part any such materials        provided by AMT. Buyer further agrees that it will release indemnify and hold harmless AMT, their           respective officers, directors, employees, instructors, service representatives agents, and            contractors assigned to perform Services hereunder from and against all claims, demands, suits, liabilities, damages, losses and costs and expenses (including costs of suit and counsel fees)                 arising out of Buyer’s use of the materials acquired pursuant to this Agreement, including without          limitation, acts or omissions by Buyer or its officers, servants, agents, employees, invitees, or                 transferees, and the coverage of this provision shall include, without limitation, property damage,             personal injuries resulting in death and copyright infringement.

 

13.3.       AMT makes no other warranty guarantee, whether express or implied, whatsoever in connection with the               furnishing of Services except as listed in Article 6, AMT Performance.

 

ARTICLE 14 - RIGHT TO STOP WORK:

 

AMT shall not be required to begin or continue providing Services when or where:

 

14.2.       there is a labor dispute or work stoppage in progress;

14.3.       there exists war or war-like operations, riots or insurrections;

14.4.       there exists conditions at Buyer's facility that are dangerous to the health of the instructors.

14.5.       non-payment of invoices as part of the requirements of this Agreement.

 

ARTICLE 15 - EXCUSABLE DELAYS:

 

15.1.       AMT shall not be liable for any delay resulting from failure of training equipment or any other cause        beyond AMTs reasonable control. This shall include delays in shipping caused by increased                security precautions

 

ARTICLE 16 – ASSIGNMENTS:

 

16.1.       AMT may assign all or any part of its rights and obligations under this Agreement to any AMT     subsidiary, otherwise, neither the rights nor the duties of either party under this Agreement may be         voluntarily assigned in whole or part, by either party without written consent of the other party.

 


ARTICLE 17 - GOVERNING LAW

 

17.1.       This Agreement shall be governed by the laws of the United Kingdom of Great Britain.

 

ARTICLE 18 - GENERAL PROVISIONS

 

18.1.       Severability. Should any part of this Agreement be found invalid or unenforceable by competent                             authority, the balance of it shall remain in full force and effect, and the parties shall endeavor to         substitute language which reinstates their original intent in a valid manner.

 

18.2.       Defaults and Remedy. Upon the occurrence of any event of default and at any time thereafter AMT may, in its discretion, do any one or more of the following: (1) declare all sums due and to                become due and                hereunder immediately and payable; or (2) exercise any other right or remedy          which may be available to it or other applicable law including the right to recover damages for the          breach hereof. If any action is brought by AMT to enforce this Agreement, Buyer agrees to the                   costs thereof, including reasonable attorney's fees and other costs of collection. No remedy   referred to herein is intended to be exclusive, but each shall be cumulative and in addition to any   other remedy referred to above or otherwise available to AMT at law. No express or implied waiver                 by AMT of any default shall constitute a waiver of any other default by Buyer or a           waiver of AMT's   rights.

 

18.3.       Entire Agreement and Changes. This Agreement supersedes all prior understandings,               representations, negotiations and correspondence between the parties and constitutes the entire             agreement between the parties hereto with respect to the Service. This Agreement may be   amended from time to time by Change of Order or other written instruments, which shall set forth in         detail the particular changes to be made and their effect, if any, on price, payment schedule, and         date of training. Change Orders and other written instruments amending this Agreement shall not           be binding on either party until signed on behalf of Buyer and AMT by their respective duly    authorized representatives.

 


ARTICLE 19 - SIGNATURE AND AUTHORITY:

 

19.1.       Authority of Buyer: Each individual executing this Agreement on behalf of Buyer represents and warrants that he is duly authorized to execute and deliver this Agreement on behalf of said Corporation, in accordance with the by-laws of said Corporation, and that this Agreement is binding upon said Corporation.

 

 

19.2.       IN WITNESS THEREOF, the parties hereto have caused this Agreement to be executed on the   date first above written.

Addendum A:      Special Provisions:        

 

1a. Buyer to print training materials locally and be responsible for distribution to the students. Buyer acknowledges that it has copies of training materials in possession.

 

1b. Seller will allow a 4th class to be taught at the same contract price if it is required to accommodate the anticipated student number.  Such class will begin immediately following conclusion of class presentation number #3.

 

1c. Base Aircraft is agreed to be a DC-10-30 with CF-6-50 engines.

Good morning Waldo,

in comparing the subject contract (# AA100 0607 02) with the previous one (# AA100 0524 02) I've seen there are a few differences concerning essentially the total price, the baseline population and the admissible additional students (points: A3.1., AP1.7. and AP1.11.).

Say that, according to the actual Alitalia requirements, I'd like you to apply the previous proposal agreement (# AA100 0524 02); to be precise, I ask for amendments to comply with the following items:

AP1.11. Buyer will pay an additional $1,800 USD per student for additional students above student population baseline. No more than 5 additional students allowed above baseline.
